These Terms of Service ("Terms") govern your use of the website at www.privateevents.co (the "Site") and the services offered by WorkBistro LLC, doing business as Sway Private Events ("Sway," "we," "us," or "our") through the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Our Services

PrivateEvents.co is a venue matchmaking and event planning resource operated by WorkBistro LLC, doing business as Sway Private Events. We help individuals and organizations find and connect with private event venues at restaurants, bars, and hospitality spaces across the United States.

Our services include providing educational content about private event planning, interactive planning tools, venue recommendations, and facilitating introductions between event hosts and venue partners. We act as an intermediary and advisor. We are not a venue, caterer, or event planner, and we do not directly provide event services.

2. Eligibility

You must be at least 18 years old to use this Site or submit any form on it. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. User Submissions and Forms

When you submit information through any form on the Site (including inquiry forms, planning tools, quizzes, and calculators), you agree that:

  • The information you provide is accurate and complete to the best of your knowledge
  • You consent to us contacting you by email, phone, and/or text message at the contact information you provide, for the purpose of responding to your inquiry and facilitating venue connections
  • Your submission does not create a binding contract, guarantee venue availability, or obligate any venue to provide services to you
  • We may share your event details (name, contact information, event type, date, guest count) with relevant venue partners in order to fulfill your request

SMS and text message consent is governed by our Privacy Policy, which includes our complete SMS Terms and Conditions. By checking the SMS consent box on any form, you agree to those terms.

4. Venue Introductions and Recommendations

PrivateEvents.co facilitates introductions. We do not guarantee outcomes. Any booking, contract, or financial arrangement you enter into with a venue is between you and that venue. We are not a party to those agreements and are not liable for any venue's performance, pricing, availability, cancellation policies, or service quality.

Our venue recommendations are based on the information you provide and our knowledge of the venue landscape. Recommendations do not constitute endorsements or guarantees of any kind. Venue availability, pricing, menus, policies, and capacity may change without notice and are controlled entirely by the venue.

You are responsible for conducting your own due diligence before entering into any agreement with a venue. We encourage you to review all venue contracts, cancellation policies, and pricing in full before committing.

5. Pricing and Cost Information

Any pricing information, cost estimates, or budget ranges provided on this Site (including through our planning tools and educational content) are for general informational purposes only. They are not quotes, bids, or binding offers. Actual pricing for private events varies significantly based on venue, location, date, guest count, menu selections, service requirements, and other factors.

We make reasonable efforts to provide accurate and current information, but we cannot guarantee the accuracy, completeness, or timeliness of any pricing data displayed on the Site.

6. Intellectual Property

All content on this Site, including text, graphics, images, logos, design elements, interactive tools, and software, is the property of WorkBistro LLC, doing business as Sway Private Events or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.

The PrivateEvents.co name, PE.co mark, and all related branding are proprietary to WorkBistro LLC, doing business as Sway Private Events. You may not use, reproduce, modify, distribute, or display any content from this Site without our prior written consent, except for personal, non-commercial use in connection with your event planning.

Venue photos, logos, and descriptions displayed on this Site are used with permission from our venue partners or sourced from publicly available materials. These remain the property of their respective owners.

7. Prohibited Uses

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information through any form
  • Scrape, crawl, or use automated means to extract data or content from the Site
  • Attempt to interfere with the proper functioning of the Site

TO THE FULLEST EXTENT PERMITTED BY LAW, SWAY HOSPITALITY LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content, including venue information, pricing data, or planning tool outputs.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWAY HOSPITALITY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your use of or inability to use the Site or our services
  • Any venue introduction, recommendation, or booking facilitated through the Site
  • Any conduct or content of any venue partner or third party
  • Unauthorized access to or alteration of your information
  • Any other matter relating to the Site or our services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless WorkBistro LLC, doing business as Sway Private Events, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any dispute between you and a venue partner.

The Site may contain links to third-party websites, including venue partner sites, payment processors, and social media platforms. These links are provided for your convenience. We do not control and are not responsible for the content, privacy practices, or terms of any third-party website. Your interactions with third-party sites are governed by those sites' own terms and policies.

We reserve the right to update or modify these Terms at any time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
